Non-Solicitation Clause, Non-Compete Agreement, and Transparency on Carrier No-Releases Policy

This agreement is designed to give you clarity, stability, and long-term opportunity as you grow your career with us.
This agreement is designed to protect the integrity of the company, the Agent’s long-term opportunity, and the stability of our leadership structure. It serves to ensure that all agents, including downlines, uplines, and mentors, operate within a compliant, ethical, and structured environment. These provisions help prevent misconduct that could disrupt the organization, dilute training investments, or cause reputational harm to those building a legitimate career with Flow International. It ensures a fair, structured, and trustworthy environment. By agreeing to the terms outlined here, you are also agreeing to protect what we are all building together.
This Agreement is made between Flow International LLC ("Company") and the agent ("Agent"). The Agent acknowledges that they are an independent contractor appointed directly with one or more life insurance carriers and not a 1099 contractor of Flow International LLC.
AGENT AGREEMENT AND INDEPENDENT CONTRACTOR TERMS
Legal Clarification on IMO Structure: The Agent acknowledges that although they are not directly contracted with Flow International LLC for the purpose of receiving commissions (which are paid by licensed life insurance carriers), they actively participate under the operational structure (such as contracting with the carriers), lead distribution, training systems, and leadership model provided by Flow International LLC. Flow International operates as an Independent Marketing Organization (IMO) and offers essential resources that directly impact the Agent’s ability to succeed. As such, the Agent agrees that this agreement is fully enforceable, and Flow retains the right to apply the legal terms stated herein in protection of its intellectual property, team infrastructure, and business model. The Agent acknowledges that they are an independent contractor appointed (contracted) directly with one or more life insurance carriers and not a 1099 contractor of Flow International LLC.
The Agent does have access to exclusive leads, marketing platforms, training, and proprietary systems provided by Flow International. For that reason, the Agent agrees to be legally bound by the terms outlined in this Agreement — including Flow's Non-Disclosure Agreement (NDA), Non-Compete Policy, and Lead Policy — in exchange for access to the Company’s exclusive leads (insurance prospect leads) resources and platforms.
To ensure enforceability and full compliance, the Agent agrees that in the event of a breach of this agreement, including unauthorized resale of leads, poaching of agents, or replication of Flow International’s intellectual property, the Agent shall be liable for:
Injunctive relief, including but not limited to court orders prohibiting further violations
Reimbursement of legal fees, court costs, and related expenses incurred by Flow International in enforcing this agreement
Liquidated damages of no less than $10,000 USD per occurrence, payable to Flow International LLC
These provisions are expressly agreed upon to prevent harm to Flow International’s reputation, operations, and business model.
The Agent acknowledges that these remedies are fair, reasonable, and necessary for the protection of Flow International’s proprietary systems.
Independent Contractor Agreement
This Agreement is made by and between Flow International LLC ("Company") and the Agent ("Agent").
1. Preamble
1.1. This agreement confirms the Agent's role as an independent professional is to solicit life insurance to U.S. Citizens and non-U.S. Citizens including but not limited to the immigrant community in the U.S. The Agent works under appointments from licensed insurance carriers, and receives leads, training, systems, and marketing support from Flow International LLC.
2. Scope of Services
2.1 The Agent agrees to perform services. These include but are not limited to: calling leads, closing life insurance policies, and attending required training or meetings.
3. Non-Disclosure Agreement (NDA)
3.1 The Agent agrees not to disclose or use any confidential company information, including:
Business models
Marketing strategies
Client data
Operational practices
Proprietary software (e.g., Flow Agent CRM)
Media content or videos created for immigrant outreach
The Agent agrees to never replicate, disclose, or utilize such information for personal or third-party benefit without Flow’s written consent. Violation will lead to legal consequences including claims for damages, IP infringement, and legal costs.
4. Workplace Liability
4.1. The Agent acknowledges they are solely responsible for their own safety, health, and well-being while performing their duties. Flow International LLC bears no liability for any injury, accident, loss, or property damage — whether personal, physical, or business-related — that may occur during the course of the Agent’s work. This includes, but is not limited to, incidents involving travel, in-person appointments, use of third-party systems or platforms, and personal equipment or devices.
4.2. The Agent agrees that they will never initiate legal action, file claims, or pursue lawsuits against Flow International LLC for any personal injury, business loss, or system-related failure experienced in the course of their independent contractor role.
5. Media Consent
5.1. The Agent allows Flow to record or film them for business and marketing purposes. Flow holds exclusive rights to all such media.

6. TERMINATION/LEAVING THE COMPANY
6.1. Definition of Departure / Leaving FLOW International, the Company
For the purposes of this agreement, an Agent shall be considered as having "left" or "departed" from Flow International's vision if any of the following occur:
· The Agent submits a resignation in writing or by email
· The Agent formally requests a release from Flow International or any of its affiliated carriers
· The Agent is identified as actively working with or contracted to another IMO, agency, carrier, or brokerage while having previously received leads or support from Flow International
· The Agent is found to have current or active appointments with other agencies, IMOs, carriers, or brokerages
· Flow International obtains credible evidence—such as witness statements or documentation—that the Agent is buying, selling, or redistributing leads to external sources or entities, including using Flow-generated leads for sales through non-affiliated carriers
6.2. The Company's Response to Departure
In the event of a departure as defined above, Flow International reserves the right to take immediate actions necessary to protect its proprietary systems, agent hierarchy, and client data. These actions may include:
· Contacting the Agent to clarify their intentions and future plans
· If the Agent is unresponsive or fails to respond within a reasonable timeframe, Flow may immediately suspend or terminate CRM access to prevent any potential misuse of client data and lead information
· Initiating changes to hierarchy structures, including commission adjustments and upline assignments, to ensure active and present leadership support for downline agents
- The Agent shall no longer be entitled to receive overrides from any downline agents.
Reason: Overrides are reserved for leaders who are actively engaged in building and supporting their teams within FLOW. When an Agent departs, their team must be supported by leaders who remain committed to the organization.
Carrier Appointments upon Leaving FLOW International, the company
The Agent may maintain their appointment with National Life Group and other carriers under FLOW and continue producing as an individual agent.
The Agent shall not be eligible to purchase FLOW-generated leads or access FLOW systems, tools.
Reason: FLOW allows Agents to retain their NLG appointment in good standing; however, leads and infrastructure are reserved for Agents who are fully dedicated to FLOW’s business model and operations.
Replacement of Existing Policies After Appointed with additional non-FLOW Carriers
The Agent is strictly prohibited from transferring or rewriting existing NLG policies into another carrier.
Any such action may be reported by FLOW to NLG, which may result in termination of the Agent’s appointment due to prohibited replacement activity and not eligible for re-contracting in the future.
Reason: Replacing in-force policies harms clients, undermines carrier trust, and exposes the Agent to compliance and licensing risks. This prohibition safeguards clients, FLOW, and carrier relationships.
Flow International also reserves the right to terminate the Agent’s appointments with any Flow-affiliated carriers at any time, should any of the above conditions be met, or if the Agent is found to have violated the integrity of our business model and lead distribution policies.
These policies are essential due to the nature of our business and the high-value proprietary resources we provide—including real-time Spanish-speaking leads, live transfers, and CRM-integrated support systems. Any misuse or unauthorized redirection of these resources directly threatens our operational integrity and the success of all participating agents.
6.3. Upon leaving Flow, the Agent may not:
Use Flow’s marketing content, videos, scripts, or strategies
Replicate Flow’s intellectual property
6.4. TRANSPARENCY ON CARRIER RELEASE POLICY
(Please read this carefully before starting your partnership with FLOW International.)
At FLOW International, we believe in being upfront and transparent with every agent who joins our organization. Our mission is to provide world-class mentorship, quality leads, and the infrastructure necessary for long-term success. Because of the significant investment we make in each agent’s growth, we have a clear policy regarding carrier releases.
Release Policy
We want to be fair with agents who decide to transfer to another agency. Most brokerages or IMOs will not grant a release, which means agents are unable to sell with that carrier for six (6) months after requesting a release.
At FLOW, we take a different approach. Agents may continue to sell in their current hierarchy during the waiting period. However the Agent shall no longer be entitled to receive overrides from any downline agents. Overrides are reserved for leaders who are actively engaged in building and supporting their teams within FLOW. When an Agent departs, their team must be supported by leaders who remain committed to the organization.
For example, if you request a release on January 1, 2025, your release will be granted on July 1, 2025. During those six months, you may continue to write business with the carrier under your existing appointment.
This allows agents to continue selling with their favorite carrier and/or continue to make income, even after they have decided to request a release. In other words, whether you choose to sell or not during that six-month period, your release will still be processed once the six months have passed. The six-month period begins only after you send an official email to releases@flowinternationalgroup.com stating your intent to be released.
Important Condition During the Six Months
Although FLOW is one of the very few brokerages that allows agents to continue selling for six (6) months and still receive their release, this privilege comes with the following conditions:
- Agents are strictly prohibited from recruiting, soliciting, or encouraging any current FLOW agents or downlines to join another agency, company, or marketing organization.
- Any attempt to recruit or solicit FLOW agents will result in the immediate denial of the release request.
This policy is designed to protect the integrity of our teams while being fair to agents who choose to move on.
A transfer request may also be cancelled at any time by the agent. If you realize the new agency is not the right fit, our door is always open, and your release request can be withdrawn so you may continue building with FLOW.

NATIONAL LIFE GROUP
If you decide to transfer with National Life Group, you acknowledge and agree that NLG enforces an 18-month restriction period:
6 months waiting period and and additional 12 months during which your commission level cannot be increased.
Total National Life Group rule restriction period: 18 months (1 year + 6 months).
Official NLG wording (from carrier):
“Please note that you will not be eligible for an increase to your current commission rate for 1 year from the date the transfer was made effective.”
ETHOS LIFE
If you decide to transfer with Ethos, you acknowledge and agree that Ethos enforces an 18-month restriction period:
18 months during which your commission level cannot be increase.
Total ETHOS restriction period: 18 months (1 year for the transfer+ 6 months for the commission increase).
Official Ethos wording (from carrier):
“…the agent must wait twelve months from the date of their last activation before Ethos will process the transfer request... Once the agent is appointed under a new hierarchy, the agent’s compensation shall not exceed their previous hierarchy’s compensation rate for six months.”
OTHER CARRIERS:
Each carrier maintains its own release and transfer rules, which may vary by company. For details on carriers not listed above, please contact the carrier directly for the most up-to-date information.
These restrictions are established by the insurance carriers and insurance companies, NOT by our brokerage.
They are part of your direct agent agreement with the carrier and insurance companies, not with FLOW.
While we comply with each carrier’s and life insurance company's no-release policy, FLOW does not create these rules.
If you have any questions or concerns regarding a carrier’s transfer or release policy, please contact the carrier’s or insurance company's contracting department directly for clarification.
This restriction by the carriers and life insurance companies are designed to protect the leadership, mentorship, lead investment, and infrastructure provided insurance agencies, brokerages and its leadership team, which directly contribute to each Agent’s success.
This policy exists to:
Protect fairness — ensuring consistency across all agents.
Honor investment — recognizing the mentorship, leads, and resources provided to help each agent succeed.
Preserve integrity — maintaining the standards that allow FLOW to serve agents and clients with excellence.
The Agent agrees that they shall not be eligible for a release or transfer of that carrier appointment to another brokerage, agency, or IMO for a minimum period of six (6) to twelve (12) months following their disassociation from Flow.
If you are not comfortable with these terms, we completely respect your decision and kindly suggest that you consider whether getting contracted with these insurance carriers is the right fit for you. We want every agent who joins us to feel confident, aligned, and committed to building a future within our organization.
NON-COMPETE AGREEMENT AND NON-SOLICITATION OF AGENTS
6.5 Non-Compete Agreement The Agent agrees that, for a period of twelve (12) months following their separation from FLOW International, they will not directly compete by establishing or operating an insurance brokerage or call center that uses substantially similar lead-driven distribution models designed to recruit or redirect FLOW-affiliated agents or clients. This restriction does not prevent the Agent from working in the insurance industry in general, or from selling policies through carriers, but is intended solely to prevent unfair competition that undermines FLOW’s proprietary systems, lead investments, and team structure.
6.6. Non-Solicitation of Agents
The Agent agrees that, for a period of twenty-four (24) months following their separation from FLOW International LLC, they shall not directly or indirectly recruit, solicit, attempt to solicit, or otherwise encourage any current FLOW-affiliated agent, employee, or contractor to leave FLOW and join another brokerage, agency, IMO, or similar entity.
For as long as an individual remains affiliated with FLOW International, the departing Agent shall be permanently prohibited from attempting to recruit, solicit, or influence that individual.
Violations of this provision will be treated as a serious breach of this Agreement and subject to immediate injunctive relief and liquidated damages.
The Agent expressly agrees and acknowledges that, under no circumstances, for a period of twenty-four (24) months following their separation from FLOW International LLC shall not directly recruit, solicit, influence, or attempt to influence any current or former agent affiliated with Flow International — regardless of personal relationships, prior mentorship, or shared experience. This includes, but is not limited to, individuals who were ever part of the Agent’s “downline,” team, or communication group, whether on Telegram, WhatsApp, Zoom, or any other platform.
The Agent agrees not to: Initiate or participate in any conversation suggesting another brokerage, agency, or IMO as an opportunity to a Flow-affiliated agent. Circumvent this policy by using terms like “independent,” “self-managed,” or “I trained them” to justify solicitation
Claim credit for training any agent to imply control or influence
Utilize backdoor or indirect methods (i.e., through other people, new LLCs, or private messages) to engage Flow-affiliated agents
· Involve third parties, secret group chats, new LLCs, anonymous numbers, or alternate social media accounts to reach Flow agents indirectly
· Say or imply that a Flow agent would “do better elsewhere” or “deserves more” — even privately
Friendly Explanation: This protects your business and leadership path. Just like others can’t recruit from your team in the future, therefore the team you build is protected. That way, you and everyone else can grow without fear of the term called “Poaching”.
6.7. Any violation of these non-ethical recruiting “poaching” provisions will result in immediate legal action and a mandatory liquidated damages penalty of $10,000 USD per message, per phone call, per occurrence, enforceable in the State of Florida.
This clause applies indefinitely and survives the termination of this Agreement.
7. National Life Group Compliance Clause: The Agent agrees and acknowledges that they will not attempt to circumvent, bypass, or manipulate the internal commission structure of National Life Group (NLG) by forming or utilizing an LLC, corporation, or any other business entity for the purpose of re-contracting or receiving a higher commission payout outside of the Flow International structure. The Agent understands that NLG’s internal compliance policy requires agents to retain their original commission level for a full twelve (12) months from the date of departure from Flow International. Any attempt to bypass this rule is considered a breach of both this Agreement and NLG’s policy, and Flow International reserves the right to notify NLG of any such violations for further enforcement or contractual discipline. The Agent fully understands that Flow International provides the leads, infrastructure, culture, mentorship, and capital investment to grow each agent’s success. Any attempt to break this structure will be treated as a serious legal breach.
Agent further agrees not to attempt to bypass, circumvent, or otherwise violate this policy in any manner. This includes, but is not limited to, creating or using a separate business entity to contract independently with National Life Group, or submitting business under another individual’s agent number—such as that of a friend or relative—to avoid the commission freeze or transfer restrictions. Any such actions are strictly prohibited and will be treated as a deliberate breach of this Agreement.
8. Termination
Flow International reserves the right to terminate this agreement at any time. Immediate termination may occur for breach of contract, non-compliance, or unethical behavior.
9. Fidelity and Guaranty (F&G) Producer Appointment & Signature Authorization
9.1. The Agent confirms that all information they provide to Flow International LLC is accurate and truthful to the best of their knowledge.
9.2. The Agent grants Flow International LLC full and continuing authority, at any point during their association with the company, to complete, electronically sign, and submit producer appointment applications to Fidelity & Guaranty Life Insurance Company (F&G) — on the Agent’s behalf.
9.3. This authorization includes permission for Flow International to:
Fill out and electronically sign the Agent’s W-9 form as part of the appointment process
Use the information provided by the Agent to populate any contracting paperwork required by the carrier
Submit those documents directly to the carrier for processing
9.4. The Agent understands that these actions are taken strictly for the purpose of streamlining the contracting process and acknowledges that the W-9 and producer applications are considered official components of this agreement.
9.5. If the Agent does not wish to be appointed with F&G, they agree to contact Flow International’s Contracting Department immediately after agreeing to this Agreement to request exclusion from that submission.
LEAD USAGE POLICY
10.1. Integrity & CRM Access Rules
In order to access the Lead System, Agents must not hold active contracts with non-FLOW carriers
FLOW leads are exclusive and cannot be shared, sold, or used to promote other insurance products.
Using FLOW leads to sell health or other non-life products is strictly prohibited.
FLOW may suspend system access for agents who are unreachable for 5+ business days or fail to submit production within 14 days of receiving leads.
Welcome calls may be made to verify compliance.
10.2. Lead Ownership & Usage
All leads, whether purchased individually or through a subscription program, are and shall remain the exclusive property of FLOW International LLC. The Agent acknowledges that payment for leads covers only the right to use the leads for sales activities while actively affiliated with FLOW and does not transfer any ownership rights to the Agent.
· Share, forward, or resell FLOW leads to any individual, agent, or company outside of FLOW.
· Use FLOW leads to promote or discuss products not offered through FLOW-approved carriers
· Share FLOW leads to any individual or entity outside of FLOW International, regardless of personal connections
· Upload FLOW leads into a CRM or system not affiliated with FLOW or authorized carriers
· Retain and reuse FLOW leads after exiting the organization
Violations of lead usage terms will result in:
Immediate account suspension
Permanent removal of lead access
Legal action and financial penalties including a $10,000 liquidated damages clause per occurrence or per lead shared/distributed
10.3. Non-Refundable Payments: The Agent acknowledges and agrees that all payments made for leads, marketing services, or advertising under this Agreement are final and non-refundable. This applies regardless of sales results, appointment conversion rates, or the Agent’s continued participation with the Company. The Agent further acknowledges that payments may be processed via Stripe, Inc. (“Stripe”), and that this non-refundable policy applies to all transactions processed through Stripe or any bank payment.
10.4 Pre-Purchase & Delivery Policy The Agent understands that all leads are purchased in advance through paid advertising platforms (including but not limited to Facebook and Instagram). Once a lead purchase cycle begins, it cannot be paused, canceled, or refunded under any circumstances. This applies whether payment is made directly to the Company, processed via Stripe, or charged through any bank or card processor.
10.5 Minimum Commitment Requirement The Agent agrees to a minimum subscription period of four (4) consecutive weeks for any lead subscription program, with a total financial obligation for the full term as stated in the applicable Lead Subscription Agreement. Early cancellation, non-use of leads, or termination of this Agreement by the Agent does not relieve the Agent of payment obligations for the committed term.
10.6. No Chargebacks or Payment Disputes (Stripe & Bank) The Agent expressly agrees not to initiate or attempt any payment dispute (for reasons including, but not limited to, credit not processed, product unacceptable, subscription canceled, product not received, duplicate charge, unauthorized transaction, defective product, service not rendered, incorrect amount, or fraud) or reversal with Stripe, their bank, credit card company, or any other payment processor for any lead-related charges. The Agent agrees that if a dispute is submitted through Stripe or directly through their bank, this signed Agreement constitutes prior written consent and acknowledgment that: The payment was authorized. The services (lead delivery) were provided as described. The resolution of such dispute should be decided in favor of FLOW International LLC. The Agent understands that in the event of any dispute, the Company will submit this Agreement, proof of lead delivery, and payment records to Stripe, the bank, or the relevant payment processor as evidence of authorized, non-refundable charges.
10.7 The Agent understands that lead purchases are for marketing and prospecting purposes only, and the Company does not guarantee sales, commissions, or closings. Performance outcomes are dependent on the Agent’s sales activities, follow-up, and closing ability.
11. The Agent agrees that during their engagement with Flow International LLC, and following termination, they shall not:
Contact, solicit, or attempt to contact any existing Index Universal Clients they served under Flow International to another agency, carrier, or contract to suggest, encourage, or imply that a client cancel, lapse, or replace an active Indexed Universal Life (IUL) policy initiated under Flow International or its associated carriers;
Attempt to influence a client’s decision to rewrite or refinance their insurance policy elsewhere, including under a new agency affiliation.
The Agent acknowledges that early cancellation or replacement of IUL contracts (particularly within the first five policy years) is often financially harmful to the client and violates ethical guidelines.
12. Licensee Contact Information Change Authorization
Public Disclosure Notice.
Licensee acknowledges and understands that, pursuant to Florida law, the Florida Department of Financial Services (“Florida DFS”) makes certain licensee information, including personal email addresses and phone numbers, publicly available through online records. Licensee further acknowledges that this public disclosure has led to industry-wide issues such as unwanted solicitations, recruiting attempts, and other forms of direct contact by third parties.
Authorization and Direction to FLOW.
To mitigate these risks and consistent with established industry practices, Licensee expressly authorizes and directs FLOW International and its Contracting Department to update Licensee’s DFS licensing records to reflect:
Licensee’s company email address (for example: licensing@flowinternationalgroup.com), and
FLOW International’s company phone number as Licensee’s official contact details on file with the Florida DFS.
Power of Attorney for Updates.
Licensee hereby grants FLOW International a limited power of attorney solely for the purpose of accessing and updating Licensee’s contact information within the DFS or NIPR systems (https://nipr.com/licensing-center/change-contact-info), and to take any necessary steps on Licensee’s behalf to complete such changes in order to protect the Agent's publicly available information.
Obligation Following Termination.
Upon termination or cessation of Licensee’s affiliation with FLOW International, Licensee agrees that it shall be Licensee’s sole responsibility to update the DFS and NIPR contact records to reflect Licensee’s personal contact information if desired. Licensee understands that FLOW shall have no obligation to revert such changes.
Waiver and Hold Harmless.
Licensee agrees to waive and release any and all claims, causes of action, or damages against FLOW International, its officers, employees, and affiliates, arising from or relating to:
The updating of Licensee’s contact information with DFS or NIPR as directed herein,
Any consequences resulting from the use of company contact information in place of personal contact details.
Indemnification.
Licensee further agrees to indemnify, defend, and hold harmless FLOW International and its officers, employees, and affiliates from any liability, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to FLOW’s execution of these authorized updates.
Explicit Consent.
By executing this Agreement, Licensee:
Acknowledges full understanding of the Florida DFS public disclosure policies,
Voluntarily requests and consents to FLOW International taking the above-described actions on Licensee’s behalf,
And affirms that this section has been read carefully and agreed to knowingly and voluntarily.
13. Agent agrees that FLOW International LLC (“Company”) may, at its sole discretion and at any time, adopt, amend, or modify any Company policies, rules, procedures, compliance requirements, or operational guidelines (collectively, “Company Policies”), and that Agent shall be fully bound by and comply with all such Company Policies as currently in effect or as may be amended in the future. Agent expressly acknowledges that it is Agent’s responsibility to remain informed of the most current Company Policies, which are maintained and made available by the Company at https://flowinternationalgroup.com/independent-contract-agreement (or such other location as the Company may designate), and that continued association with the Company constitutes acceptance of any such modifications or updates.
This agreement is governed by the laws of the State of Florida. Any legal disputes shall be resolved exclusively in the state of Florida.
Electronic Signature Clause: The Agent agrees that this agreement may be signed electronically, and that such electronic signature shall be treated with the same force and effect as an original handwritten signature. The Agent waives any right to challenge the enforceability or validity of this agreement on the basis that it was executed electronically. Electronic acceptance, whether via online form, checkbox, or digital signature software, shall constitute full agreement to all terms set forth herein.
Language Acknowledgment Clause: The Agent acknowledges that this agreement is written in English, which is the official language of record for legal and contractual purposes in the State of Florida. Regardless of the Agent’s primary language, dialect, or native country, the Agent fully accepts the terms and legal consequences outlined herein. The Agent further agrees that they will not contest the validity, enforceability, or interpretation of this contract on the basis of language comprehension. Should the Agent require legal review or translation, they acknowledge it is their responsibility to obtain such assistance prior agreeing to this agreement. No claim shall be made on the basis of language misunderstanding, and any such challenge will be considered invalid and waived in advance.
