Independent Contractor Agreement

By selecting "submit", I hereby affirm that the information provided in this application is both accurate and truthful to the best of my knowledge. I expressly grant Flow International, the authority to submit this producer application on my behalf. Furthermore, I extend this authorization to include my signature, completion and submission of the W9-FORM by the company. It is to be noted that the W-9 form is an integral component of this contract package.

Upon selecting "submit," to forward your contract application to F&G, the details you have provided will be automatically utilized to populate the W9-Form. This process is conducted under the full and explicit consent that I, as the applicant, grant Flow International complete authority to manage and submit the F&G application on my behalf.

In addition to that, you agree to accept our Terms and Agreement including our Independent Contractor Agreement.

Independent Contractor Agreement

This Independent Contractor Agreement ("Agreement") is made and entered into by and between Flow International LLC ("Company") and the undersigned ("Agent").

Preamble

This Agreement outlines the terms under which the Agent, as an independent contractor, agrees to perform certain services for the Company, a life insurance brokerage engaged in appointing agents with several life insurance companies. It clarifies the independent contractor status of the Agent, who has completed and submitted the requisite application form to engage in activities on behalf of the Company. This engagement includes, but is not limited to, the promotion and sale of life insurance products as authorized by the Company and in accordance with the appointments with various life insurance companies.

1. Scope of Services

The Agent shall perform services as described in the attached Exhibit A, which may be updated from time to time by the Company. These services must be performed to the Company's satisfaction and in accordance with industry standards.

2. Non-Disclosure Agreement (NDA)

The Agent acknowledges that during the term of their engagement with the Company, they will have access to and become acquainted with various confidential information, including but not limited to business models, marketing strategies, client data, operational practices, and proprietary software, as well as plans for outreach to immigrants in the U.S. through videos, photographs, and other media content distributed across social media platforms for selling life insurance. The Agent agrees that all such information is the proprietary and confidential property of the Company. The Agent commits to not disclose, either during their term or at any time thereafter, any such confidential information to any person or entity outside of the Company. Furthermore, the Agent agrees not to replicate or use any of the Company's proprietary business ideas, strategies, or practices, especially those related to the outreach and marketing model targeting immigrants in the U.S., for their own benefit or for the benefit of others, without the prior written consent of the Company.

In the event of unauthorized use or disclosure of this proprietary information, the Agent understands that the Company will have the right to pursue legal action and seek substantial monetary damages for breach of this NDA, including but not limited to compensation for infringement of intellectual property, loss of business, and any associated legal costs.

3. Liability Release for Workplace Accidents

The Agent acknowledges that they are responsible for their own safety while at the Company's premises or any designated workplace. The Agent agrees that if any accident, injury, or incident occurs resulting in harm to themselves or their property, they shall bear full responsibility and will not hold the Company, its officers, employees, or agents liable for any damages, losses, or injuries. The Agent is expected to maintain their own insurance coverage to manage such risks.

4. Consent to Be Filmed or Recorded

The Agent grants the Company the right to record or film them during their duties for business purposes, including but not limited to, the creation of marketing materials aimed at attracting new clients. This content may be utilized across various social media platforms as part of the Company's strategic marketing efforts to expand its client base. The Agent waives any rights to these recordings and acknowledges the Company's exclusive ownership and unrestricted use of all such media content for these purposes.

5. Non-Compete and Intellectual Property

Upon entering this Agreement, and for a period of [specific period] following its termination, the Agent agrees not to engage in, start, or be associated with any business activity that competes directly with the core business of the Company, specifically the marketing and selling of life insurance to immigrants in the U.S. through the use of videos, photographs, and social media content. This prohibition extends nationwide, recognizing the Company's reach and operational territory across the United States.

The Agent acknowledges that the Company's business model, including its strategies for reaching out to immigrants and the creation and use of specific types of media content for marketing purposes, constitutes valuable intellectual property. The Agent agrees not to replicate, disclose, or use any such intellectual property, either directly or indirectly, for their own benefit or the benefit of others, without the express written permission of the Company.

Should the Agent breach this non-compete provision, they agree that the Company is entitled to seek injunctive relief to prevent further breaches and to claim compensation for any and all damages resulting from such breach. This may include, but is not limited to, lost profits, the diminution of value of the Company's intellectual property, and recovery of any profits made by the Agent as a result of the breach. The Agent further agrees to indemnify the Company for all legal costs and expenses incurred in enforcing this clause.

6. Compensation

Compensation terms, including payment schedules, rates, and any applicable bonuses, are outlined in Exhibit B, subject to adjustments as agreed upon by both parties.

7. Termination

This Agreement may be terminated by either party with written notice. Immediate termination conditions are specified within the Agreement.

The agents of Flow International Group offers policies issued by National Life Group Life Insurance Company, Life Insurance of the Southwest and Fidelity and Guaranty Life Insurance Company, among other carriers . Products and their features may not be available in all states.
